Terms of Service

These Terms of Service (“Terms”) govern your purchase of a license and your use of the LightForge desktop applications and the LightForge Client Portal (collectively, “LightForge” or the “Service”) provided by ROKITA LABS LLC (“ROKITA LABS”, “we”, “our”, “us”).

By purchasing a license, downloading, installing, or using LightForge you agree to be bound by these Terms. If you do not agree, do not use LightForge.

1. Account and License

  • You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use LightForge.
  • A single license permits activation on up to three (3) devices at any time.
  • The associated EULA forms part of these Terms and governs installation, device validation, and license restrictions.
  • Universities, public institutions, and enterprise customers require a separate agreement; contact [email protected].

2. Purchases and Payments

  • Licenses are sold as a one-time purchase payable in U.S. dollars via Stripe Checkout.
  • All sales are final. We do not provide refunds except where required by law.
  • You are responsible for any taxes, duties, or exchange fees that apply in your jurisdiction.

3. Updates and Support

  • Your license includes all minor updates, bug fixes, and security patches released for the current major version (v1).
  • We may discontinue or change features at any time without liability.
  • Support inquiries can be sent to [email protected]; response times are not guaranteed.

4. Acceptable Use

  • You may not:
    • share, resell, rent, lease, or sublicense your license key;
    • bypass or interfere with license-validation mechanisms;
    • reverse-engineer, decompile, or modify the software except where such activity is expressly permitted by law;
    • use LightForge to infringe intellectual-property rights or violate any law or regulation.
  • We reserve the right to suspend or terminate your license for any violation of these Terms.

5. Intellectual Property

  • LightForge, including all code, artwork, and documentation, is owned by ROKITA LABS and is protected by copyright, trademark, and other laws.
  • Using LightForge grants you no ownership rights and no rights other than those expressly granted in the EULA.

6. Warranty Disclaimer

LIGHTFORGE IS PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Your use is at your sole risk.

7. Limitation of Liability

To the maximum extent permitted by law, ROKITA LABS, its officers, employees, and affiliates will not be liable for:

  • indirect, incidental, special, consequential, or punitive damages, or
  • any amount exceeding the license fee you paid,
    arising out of or in connection with these Terms, LightForge, or your use of the Service, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify and hold harmless ROKITA LABS from any claim, loss, damage, liability, or expense (including reasonable attorneys’ fees) arising out of or related to:

  • your breach of these Terms or the EULA, or
  • your misuse of LightForge.

9. Export Compliance

You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or sanctions and that you are not on any U.S. government restricted-party list. You agree to comply with all applicable export and re-export laws.

10. Changes to Terms

We may update these Terms at any time. Changes become effective immediately upon posting within the Client Portal or in the LightForge application. Continued use constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
  • Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to their jurisdiction.

12. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of future enforcement.

13. Entire Agreement

These Terms, the LightForge EULA, and the Privacy Policy constitute the entire agreement between you and ROKITA LABS regarding LightForge and supersede any prior agreements or understandings.
